Company limited by shares: CHF 100,000 capital, at least CHF 50,000 paid up
Updated on October 24, 2026
The company limited by shares is governed by articles 620 onwards of the Code of Obligations. Article 621 sets the minimum share capital at CHF 100,000. Article 632 requires that at least 20 percent of the par value of each share be paid up, and in any event CHF 50,000. Formation is by authentic deed and then by entry in the commercial register, which alone confers legal personality. Shareholders do not answer for the debts beyond their contribution, subject to the particular duties of the board. The choice between this company and an LLC is not made on capital alone.
