LLC: CHF 20,000 of capital, fully paid up
Updated on October 24, 2026
The limited liability company is governed by articles 772 onwards of the Code of Obligations. Article 773 sets the minimum capital at CHF 20,000. It must be fully paid up. The company comes into existence on entry in the commercial register, after a deed in authentic form. Members do not answer personally for the company's debts, subject to the cases where the statute sets that limit aside. The name states the legal form. The Confederation's SME portal describes the practical steps. The capital figure is checked on Fedlex.

Notary, registration and advice fees are added to the capital. The capital is not a sunk cost: it becomes an asset of the company.
