Starting capital: the amounts in the Code of Obligations

Updated on October 24, 2026

The minimum amounts are statutory. For the LLC, article 773 CO requires CHF 20,000 fully paid up. For the company limited by shares, articles 621 and 632 CO require CHF 100,000 of share capital and at least CHF 50,000 paid up. A sole trader has no company capital. The paid-up capital is deposited and certified before registration. Formation fees are extra. Capital below these floors does not allow registration of the chosen form.

Applicable text

Paying up means actually contributing the capital, in cash or in kind under the valuation rules. An unperformed promise is not enough for the notary to file the registration.
